Terms of Service

1. Who these terms are between

These Terms of Service ("Terms") govern your access to and use of The Confluence (the "Service"), including this website, LoreCraft Studio and the LoreCraft library, Living Worlds collection pages, AI personas, playable games and experiences, and any related tools we offer.

By creating an account, accepting these Terms, or otherwise using the Service, you agree to be bound by them. If you do not agree, do not use the Service. Our Privacy Policy and our Rights and Content Policy are incorporated by reference and form part of these Terms.

You must be at least 13 years old to use the Service, and at least 18 years old to purchase a membership or link a wallet.

2. Your account

You are responsible for your account credentials and for everything done through your account. Keep your password confidential, and tell us promptly if you believe your account has been used without your permission.

Provide accurate registration details and keep them current. One person may not maintain multiple accounts to obtain additional free allowances, memberships, or promotional benefits.

You may stop using the Service and ask us to close your account at any time.

3. The Service, and what it is not

The Service is offered on an evolving basis. Features may change, be added, or be withdrawn, and parts of the Service are experimental. We do not guarantee that any particular feature will remain available.

Nothing on the Service is financial, investment, legal, tax, or professional advice. Collection statistics, trait frequencies, rarity signals, and marketplace information are informational only, may be incomplete or out of date, and are not appraisals, rankings, or recommendations. We are not a broker, exchange, custodian, or wallet provider, and we do not facilitate trading between users.

4. LoreCraft membership and payment

LoreCraft Studio is available to members. A membership grants access for one month from the moment it is activated, subject to the usage allowances described in section 5.

How to pay. You may pay by sending the published amount in ETH on Ethereum mainnet to the payment address shown at checkout. We may also make other payment routes available from time to time, including access based on holding a qualifying NFT. Any route we offer will be described at checkout before you pay.

Amounts and quotes. Membership is priced in US dollars and settled in cryptocurrency. When you begin a payment we quote a specific amount for a limited window. That quoted amount is what we match against; sending a different amount, sending to a different address, or sending on a different network may mean your payment is not recognised automatically. Network transaction fees are charged by the network, not by us, and are your responsibility.

Settlement. Access is activated after your payment is observed and confirmed on-chain. Confirmation normally takes a few minutes but can take longer when the network is congested. We are not responsible for delays caused by the network, your wallet, or an intermediary you choose to use.

Irreversibility. Blockchain transactions cannot be reversed by us. Once sent, a payment cannot be recalled, and there is no chargeback mechanism. Check the address, network, and amount carefully before sending.

Mistaken payments. If you send an amount we cannot match to your account, contact us and we will try to help. Where we can identify the payment and it is practical to do so, we may credit your account or return the funds at our discretion, less any network fees. We cannot recover funds sent to an address we do not control, sent on an unsupported network, or sent as an unsupported asset.

Refunds. Memberships are sold as a completed month of access and are generally non-refundable once access has been activated. Where you have a statutory right of withdrawal that applies despite the Service being supplied immediately, that right is unaffected by this paragraph. If we withdraw the Service or terminate your membership other than for a breach of these Terms, we will refund the unused part of the current month.

Renewal. Membership does not renew automatically. There is no stored payment method and no recurring charge; access simply ends when the month ends unless you pay again. Where you pay again before your current month expires, the additional time is added to what remains rather than replacing it.

Price changes. We may change the price of a membership. A change applies to memberships purchased after the change, never retroactively to a month you have already paid for.

Taxes. Prices are exclusive of any taxes that may apply. You are responsible for any tax arising from your own use of cryptocurrency, including any gain or loss on assets you dispose of to pay us.

5. Usage allowances and fair use

Membership includes a stated allowance of AI generations rather than unlimited use. Your current allowances, how much of each you have used, and when each resets are shown in LoreCraft Studio. We publish these figures rather than applying hidden limits, so you can always see where you stand.

Allowances apply per account across separate windows, typically per hour, per day, and per membership month. Reaching a limit pauses further generation until that window resets; it does not remove access to work you have already created.

We may change published allowances. If we reduce an allowance, the change takes effect for membership months beginning after the change, not for a month already paid for.

You agree not to use scripts, automation, shared accounts, or multiple accounts to exceed an allowance, and not to resell or redistribute generation capacity. We may suspend generation on an account whose usage pattern indicates automated abuse.

6. Linking a wallet

You may link a blockchain wallet address to your account, or a wallet address may be recorded automatically as the sender of a payment you make. Linking a wallet lets us recognise payments from it and, where offered, confirm qualifying NFT holdings.

Only link an address you personally control. Do not pay from an exchange account or other custodial service you do not control, because the sending address will belong to that service rather than to you and cannot be treated as yours. An address may be linked to only one Confluence account at a time.

Linking a wallet does not give us the ability to move your assets, sign transactions, or access anything beyond information already public on the blockchain. We never ask for your seed phrase or private keys, and you must never provide them to anyone claiming to represent us.

Blockchain addresses and transactions are public and permanent. Linking an address to your account associates that public record with your account within our systems. You may ask us to unlink an address at any time; unlinking does not remove anything from the blockchain itself.

7. Your content and source rights

You keep ownership of the material you submit — artwork, characters, lore, text, metadata, reference images, and anything else ("Your Content") — subject to the licences below.

You must have the rights. You represent that you hold, or are authorised by the person who holds, all rights necessary to submit Your Content and to have it used as described here. Owning an NFT does not by itself grant commercial rights to the underlying artwork or characters; those rights depend on the terms of the collection concerned, and it is your responsibility to know them.

Do not submit third-party marks. You must not submit reference material that carries another party's trademarks, logos, or protected character designs unless you are authorised to use them. Generated illustrations follow their reference material closely, so material submitted in breach of this becomes visible in output.

Licence to operate the Service. You grant us a non-exclusive, worldwide, royalty-free licence to store, process, reproduce, and display Your Content solely to provide and improve the Service for you.

Published stories. Where you choose to publish a story to the public LoreCraft library, you additionally grant us a non-exclusive, worldwide, royalty-free licence to host, display, and distribute it, and to feature it in promotion of the Service, for as long as it remains published and for a reasonable period afterwards in archived or cached form. Unpublishing removes a story from the public library, but copies already distributed or cached elsewhere may persist.

We do not train general models on your material. Your Content is processed to produce your results. We do not use it to train foundation models or to generate output for other users.

8. AI-generated output

LoreCraft and our AI personas produce output using probabilistic models. Output may be inaccurate, inconsistent, derivative of your reference material, or unsuitable for your purpose. Personas are interactive fictional characters, not real people, advisers, or representatives of anyone.

Generated output is a draft until a responsible person reviews it. Before publishing or commercialising anything produced with the Service, you are responsible for checking accuracy, rights clearance, brand fit, age suitability, safety, and any channel or platform requirements.

The legal status of AI-generated material varies by jurisdiction and may not attract copyright protection. We make no representation that output is protectable, original, or free of resemblance to other material. Similar prompts may produce similar results for different users, and we do not grant exclusivity over any output.

9. Acceptable use

You agree not to use the Service to:

We may remove content, suspend generation, or restrict an account where we reasonably believe this section has been breached.

10. Third-party collections and the supported IP list

Some features are available for specific NFT collections. A collection is added to the supported list only after the people responsible for it verify their ownership of the relevant rights to us, and any listing fee is separate from and additional to individual memberships.

Listing a collection does not grant its holders a licence to the underlying IP, and does not grant any right to use it beyond the Service. Holders of a supported collection still require their own membership.

We may decline, suspend, or remove a collection at any time, including where a rights claim is disputed or cannot be verified. If you believe a collection has been listed without authority, contact us using the details in section 17.

11. Third-party services and networks

The Service depends on things we do not control, including blockchain networks, AI model providers, marketplaces, storage gateways, and payment infrastructure. Their availability, behaviour, pricing, and terms may change without notice. We are not responsible for their acts or omissions, and their failure may interrupt the Service.

12. Availability

We aim to keep the Service running but do not guarantee uninterrupted or error-free availability. We may suspend the Service for maintenance, security, legal, or operational reasons. We are not liable for data loss and recommend keeping your own copies of anything important to you.

13. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, the exclusions in this section apply only to the extent permitted.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, lost opportunity, or the loss in value of any digital asset, however caused.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of CAD $100 or the total amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.

15. Indemnification

You agree to indemnify and hold harmless The Confluence and its officers, directors, employees, and contractors from any claim, demand, loss, or liability, including reasonable legal fees, arising from Your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

16. Suspension, termination, and changes to these Terms

We may suspend or terminate your access where you breach these Terms, or where we must do so for security, legal, or operational reasons. Where we terminate a paid membership other than for your breach, we will refund the unused part of the current month.

On termination, the sections that by their nature should survive do so, including sections 7, 8, 13, 14, 15, and 18.

We may revise these Terms. When we make a material change we will update the version date below and ask you to accept the revised Terms the next time you sign in. Continuing to use the Service after accepting means you are bound by the revised Terms. If you do not accept them, you may stop using the Service and ask us to close your account; if you have an unused paid month remaining, we will refund it.

18. Governing law

These Terms are governed by the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict-of-law rules. The courts of the judicial district of Montreal have jurisdiction, except where mandatory consumer protection law in your country of residence gives you the right to bring proceedings locally.
